1. Introduction
These Terms of Service ("Terms") constitute a binding legal agreement between you ("Merchant" or "User") and StoreOS ("we," "us," or "our"), a company incorporated in India.
StoreOS is a hosted, cloud-based e-commerce platform (the "Service"). By signing up for a StoreOS account, you acknowledge that you are subscribing to a hosted service and not purchasing a perpetual software license. You agree to use our infrastructure, hosting, and software in accordance with these Terms.
2. The Hosted Service
- Nature of Service: StoreOS provides a fully managed, hosted environment for creating and operating online stores. We handle the server infrastructure, security, and software updates.
- License to Use: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your business purposes, subject to your compliance with these Terms.
- Continuous Evolution: As a hosted solution, StoreOS is continuously improved. We reserve the right to modify, add, or remove features at any time to improve performance or security without prior notice.
3. Account & Security
- Account Registration: To use the Service, you must register for an account by providing your full legal name, current address, phone number, a valid email address, and any other information indicated as required.
- Security: You are responsible for keeping your password secure. StoreOS cannot and will not be liable for any loss or damage from your failure to maintain the security of your account and password.
- Subdomains: If you use a subdomain provided by us (e.g.,
yourshop.storeos.net), we reserve the right to reclaim or modify this subdomain if it infringes on trademarks or for other legal reasons.
4. Your Content & Data Ownership
- Merchant Ownership: You retain all rights, title, and interest in the data, content, and materials ("Merchant Data") you upload to your store (e.g., product photos, descriptions, customer lists).
- License to Host: By uploading Merchant Data, you grant StoreOS a worldwide, royalty-free license to host, copy, display, and distribute this data solely as required to provide the Service to you and your customers.
- Data Export: You may export your Merchant Data (products, orders, customers) at any time through the StoreOS dashboard.
5. Acceptable Use Policy (AUP)
Since StoreOS is a hosted platform, your actions can affect the performance and reputation of our shared infrastructure. You agree NOT to use the Service to:
- Illegal Business: Offer goods or services that are illegal, stolen, or violate local laws in your jurisdiction or ours.
- Malicious Activity: Upload any code, viruses, worms, or malware that could compromise the integrity of our cloud architecture.
- Spam: Send unsolicited marketing emails or messages.
- High-Risk Categories: Sell items such as weapons, ammunition, or restricted substances without prior written approval from us.
Violation of this AUP may result in immediate termination of your account without refund.
6. Payment, Refunds, and Taxes
- Subscription Fees: The Service is billed in advance on a monthly or annual basis. Fees are non-refundable except as outlined in our Uptime Guarantee.
- Uptime Guarantee: We guarantee 99.9% service uptime. If we fail to meet this standard in a given billing cycle, you are eligible for a full refund of that month's subscription fee.
- Taxes: All fees are exclusive of applicable taxes, levies, or duties. You are responsible for paying all such taxes to your local tax authority.
7. Cancellation and Termination
- Cancellation by You: You may cancel your account at any time via the StoreOS dashboard. Upon cancellation, your store will be taken offline, and your data may be deleted from our servers after 30 days.
- Termination by Us: We may suspend or terminate your account if we determine that you have violated these Terms, particularly the Acceptable Use Policy.
8. Limitation of Liability
You expressly understand and agree that StoreOS shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from the use of or inability to use the hosted Service.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India.
